These Terms & Conditions ("Terms") constitute a legally binding agreement between Digi Innovative Solutions ("Company", "we", "us", "our") and you ("Client", "User", "you"), governing your use of our website located at www.digiinnovativesolutions.com and any services we provide.
These Terms apply to all visitors, clients, and any others who access our website or engage our services. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity.

The specific scope, deliverables, timeline, and pricing for each engagement are defined in the individual Project Agreement / Statement of Work (SOW) signed between both parties.
A project officially commences upon receipt of a signed Statement of Work (SOW) or Project Agreement and the initial deposit payment as specified therein.
Any features, pages, or functionality not explicitly listed in the agreed SOW are considered out of scope. Additional requirements will be quoted and billed separately via a Change Request (CR) process.
Change requests submitted during development will be assessed for time and cost impact. Written approval from the client is required before any out-of-scope work begins. Change requests may affect delivery timelines.
Estimated timelines are provided in good faith based on the agreed scope. Delays caused by late client feedback, content submission, or scope changes will extend the timeline proportionally. We commit to communicating any delays promptly.
Each project milestone includes a review period during which the client may submit consolidated feedback. Revision rounds are specified in each project SOW (typically 2–3 rounds per milestone). Additional revision rounds beyond the agreed limit will be charged at our standard hourly rate.

We accept payment via: Bank Transfer (NEFT/SWIFT), PayPal, Wise (TransferWise), Stripe, and major cryptocurrencies (USDT, BTC).
Invoices are due within 7 calendar days of issue. Overdue invoices attract a late fee of 1.5% per month on the outstanding balance. We reserve the right to pause work on projects with overdue invoices until payment is received.
The initial deposit is non-refundable as it covers project planning, resource allocation, and initial design work. For milestone payments already made, refunds are evaluated on a case-by-case basis based on work completed. No refund applies to services already fully delivered and accepted.
⚠️ All prices are in USD unless otherwise stated. Clients are responsible for any currency conversion fees, international wire charges, or taxes applicable in their jurisdiction.
Upon receipt of full and final payment, Digi Innovative Solutions transfers all intellectual property rights of the custom-developed work to the client, including source code, design assets, and documentation.
Projects may incorporate open-source libraries, frameworks, and third-party assets (fonts, icons, stock images). These remain subject to their respective licenses (MIT, GPL, etc.). We will disclose all third-party components used.
Unless the client requests otherwise in writing, Digi Innovative Solutions reserves the right to display the completed project in our portfolio, case studies, and marketing materials. We will never disclose confidential business information in these showcases.
Any tools, frameworks, code libraries, or methodologies developed by Digi Innovative Solutions prior to the engagement remain our exclusive property and are licensed (not sold) to the client for use within the delivered project.
Both parties agree to maintain strict confidentiality regarding all proprietary, technical, business, and financial information shared during the engagement ("Confidential Information").
Confidential Information shall not be disclosed to any third party without prior written consent. This obligation survives termination of the project agreement for a period of 3 years.
A formal Non-Disclosure Agreement (NDA) is available upon request and is signed before any detailed project discussions begin.

Delays caused by failure to meet these obligations are the client's responsibility and may result in revised timelines and potential additional charges.
We warrant that our services will be performed with reasonable skill, care, and diligence by qualified professionals, and that deliverables will substantially conform to the agreed specifications.
We provide a 30-day bug warranty post-launch for any defects in functionality that deviate from the agreed specifications. This does not cover issues arising from client modifications or third-party system changes.
Our website and informational content are provided on an "as is" and "as available" basis without warranties of any kind, express or implied. We do not warrant that:
To the maximum extent permitted by applicable law, Digi Innovative Solutions shall not be liable for any:
Our total cumulative liability for any claims arising out of or related to a project shall not exceed the total fees paid by the client for the specific project giving rise to the claim.
❗ Some jurisdictions do not allow the limitation of certain damages. In such cases, our liability will be limited to the maximum extent permitted by law.
The client may terminate a project by providing 14 days written notice. All work completed up to the termination date will be invoiced proportionally. The initial deposit is non-refundable. Deliverables completed and paid for will be handed over.
We reserve the right to terminate an engagement immediately in cases of:
In such cases, payment is due for all work completed to date. No further deliverables will be provided.
In the event of any dispute arising from these Terms or a project engagement, both parties agree to first attempt resolution through good-faith negotiations for a period of 30 days.
If negotiations fail, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996 (India). The arbitration shall be conducted in Sirsa, Haryana, India in the English language. The arbitrator's decision shall be final and binding.
Notwithstanding the above, either party may seek injunctive or other equitable relief from a court of competent jurisdiction to prevent immediate and irreparable harm.
These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Subject to the arbitration clause above, the parties submit to the exclusive jurisdiction of the courts of Sirsa, Haryana, India.
International clients acknowledge that Indian law governs this agreement regardless of where the client is located, unless a separate jurisdiction is mutually agreed in writing within the project SOW.
